2. Scope of Application
These General Terms and Conditions of Sale (GTCS) apply exclusively to all sales made by PROXIDIS PRO to professional customers (B2B). Any order implies unreserved acceptance of these GTCS.
3. Professional Customers Only
The products offered are strictly reserved for professionals (traders, wholesalers, restaurateurs, associations, businesses). PROXIDIS PRO reserves the right to refuse any order that does not fall within this framework.
4. Products
The products offered are beverages and related products. Descriptions, visuals, and characteristics are provided for informational purposes. Variations in packaging or composition may exist depending on suppliers.
5. Pricing
Prices are indicated in euros (€), excluding taxes (HT), unless otherwise stated. The applicable VAT is that in force on the day of the order. PROXIDIS PRO reserves the right to modify its prices at any time, without prior notice.
6. Orders
Any order becomes firm and final after validation by PROXIDIS PRO. PROXIDIS PRO reserves the right to refuse or cancel an order in case of:
- payment default,
- prior dispute,
- incomplete or erroneous information.
7. Payment
Accepted payment methods are those indicated on the website. Unless otherwise agreed, payment is required before shipment.
In case of late payment:
- penalties may be applied,
- a flat-rate indemnity for recovery costs may be required in accordance with the law.
8. Delivery
Deliveries are made to the address indicated by the customer when placing the order. Delivery times are given as an indication. PROXIDIS PRO cannot be held responsible for delays due to carriers or force majeure.
9. Receipt and Claims
The customer is required to check the condition of the products upon receipt. Any claim (missing, damaged, or non-compliant product) must be reported within 48 hours of receipt.
10. Right of Return
Given the nature of the products (beverages/food), no returns or refunds will be accepted except in case of a defective product or proven error by PROXIDIS PRO.
11. Liability
PROXIDIS PRO cannot be held responsible for indirect damages related to the use of sold products. Liability is limited to the amount of the order concerned.
12. Force Majeure
PROXIDIS PRO cannot be held responsible in case of events beyond its control (strike, shortage, natural disaster, transport interruption, etc.).
13. Personal Data
The data collected is used solely within the framework of the commercial relationship. It is neither sold nor transferred to third parties.
14. Applicable Law and Disputes
These GTCS are governed by French law. In case of a dispute, an amicable solution will be sought first. Failing this, the competent courts will be those of the jurisdiction of PROXIDIS PRO's registered office.
15. Acceptance of GTCS
The customer acknowledges having read these GTCS and accepting them without reservation.
